Captions on Web Terms of Service

Welcome to Captions on web, the AI-powered video generation platform that allows you to create lifelike videos without traditional production, brought to you by Mirage US LLC. To register for an account to use Captions on web, you must first accept the Captions Terms and Conditions (the “Captions Terms”) as well as these special terms applicable to your use of Captions on web (the “Captions on Web Terms”). The Captions on Web Terms form a part of the Captions Terms and together form a legally binding agreement between Mirage (“Mirage,” we,” or “us”) and the entity agreeing to the Captions on Web Terms (“Customer,” “you,” or “your). Captions on web is a “Service” as defined in the Captions Terms.

If the individual accepting these Captions on Web Terms is accepting on behalf of a company or other legal entity, such individual represents that they have the authority to bind such entity and its affiliates to these Captions on Web Terms, in which case the term “Customer” shall refer to such entity and its affiliates. If the individual accepting these Captions on Web Terms does not have such authority, or does not agree with these Captions on Web Terms, such individual must not accept these Captions on Web Terms and may not use the Services. If you are using the Captions on Web Terms as an Authorized User, as defined below, your use of the Services shall be governed by the Captions on Web User Terms rather than these Captions on Web Terms.

These Captions on Web Terms are effective on the earlier of when you click to accept these terms and your first use of Captions on web. All capitalized terms used herein and not defined have the meaning given such terms in the Captions Terms. Please note that Captions on web is intended for use by businesses and organizations and not for consumer purposes.

The Captions on Web Terms and Conditions are solely applicable to your use of Captions on web and are not applicable to your use of Captions. When utilizing Captions Services, you understand that you, along with any Captions on web Authorized User (as defined below), are using the Captions Services in your capacity as a User as defined in the Captions Terms and Conditions.

1. GENERAL

1.1 Description of Services

Captions on web enables Users to create Output using Captions on web-generated avatar images and voice generation features for advertising or other purposes. Any Output that you create using Captions on web and distribute commercially is referred to herein as “Captions on web Output.” Captions on web is currently only available at captions.ai and cannot be accessed via the Captions mobile app.

1.2 Your Use of Captions on web

Your use of Captions on web is subject to your compliance with our Acceptable User Policy (“AUP”) and with the terms set forth in the Terms of Service as well as these Captions on Web Terms. You represent and warrant that in connection with your use of Captions on web (i) you have obtained all necessary rights and/or consents to any Input in accordance with our Terms of Service and AUP, (ii) you will disclose that AI was used to generate the Captions on web Output and that the Captions on web Outputs are advertisements, as and when appropriate, (iii) you will include all other disclosures as required by law, including but not limited to endorsement disclosures required under the Federal Trade Commission Act, and (iv) you will not state, suggest, or otherwise communicate that Mirage endorses you or the Captions on web Output.

1.3 Changes to Features.

Mirage may make changes to certain features or functionalities of Captions on web from time to time, including by adding or removing features, or increasing or decreasing capacity limits. Mirage and its Affiliates assume no liability for any such changes.

2. Captions on web ACCOUNT; MIRAGE PLANS

2.1 Captions on web Account and Subscription

You may be required to register for a Captions on web account (a “Captions on web Account”) that may be separate from your Captions User Account, if any. The provisions set forth under “User Accounts” in the captions Terms apply to your Captions on web Account.

Your Captions on web Subscription gives you the ability to invite individuals to use the Services under your Captions on web Subscription from outside your organization (such users, along with individuals in your organization who you authorize to use the Services, “Authorized Users”). Such Authorized Users will be able to access and use the Services; provided that all content submitted by an Authorized User to the Services under your Captions on web Subscription is considered Customer Input.

2.2 Responsibility for Authorized Users and User Accounts.

Customer shall remain fully responsible for all use and access of the Services by its Authorized Users and Authorized Users’ compliance with the terms of the Agreement, including the Acceptable Use Policy. A breach of the Agreement by an Authorized User is deemed to be a breach of the Agreement by Customer.

Customer will ensure that its Authorized Users only use the Services through the User Account. Customer will not allow any Authorized User to share the User Account with any other person. Customer is responsible for maintaining the security of and access to its passwords and files and is responsible for all uses of the Services with or without its knowledge or consent. Customer will notify Mirage immediately of any actual or suspected unauthorized use of the Services. Mirage reserves the right to suspend, deactivate, or replace the User Accounts of the Customer and Authorized Users if it determines that such User Accounts may have been used for an unauthorized purpose or in breach of the Agreement. To the maximum extent allowed by law, Mirage is not liable for any losses caused by unauthorized use of the User Account by Customer or Authorized Users.

2.3 Fees.

Customer is responsible for the applicable Captions on web Subscription charge and any and all taxes or possible transaction fees, and any other charges incurred in connection with your Captions on web Subscription.

2.4 Subscription Plans

Mirage may offer one or more automatically renewing Plans for Captions on web (a “Captions on web Plan”) which may be offered for a monthly or yearly fee payable at the start of the relevant period. The features included in each Captions on web Plan, are set out in the description of each such Plan. Mirage may make changes to certain features or functionalities of your Captions on web Subscription from time to time, including by limiting the number of Authorized Users that can access your User Account. Mirage does not represent or warrant that particular features and benefits will be offered indefinitely in a Mirage Plan and reserves the right to, in its sole discretion, change the fees or alter the features and benefits associated with a Captions on web Plan. If Mirage changes the monthly or annual fee charged for a Captions on web Plan, Mirage will notify you and provide you with the opportunity to cancel your subscription before your Captions on web Plan subscription is renewed for another subscription term. If you do not wish to continue subscribing with the new subscription fees, you may cancel your Captions on web Plan subscription within the specified notice period. We may make Plan feature changes. Your continued use of Captions on web after a fee or feature change becomes effective will constitute your acceptance of the change, and any updated terms and conditions will apply for the remaining subscription term and all renewals going forward.
