Mirage Multiple Account Plan Terms and Conditions

Mirage’s Multiple Account Plans (the “Multiple Account Plans”) are made available by Mirage, subject to these terms and conditions (the “Multiple Account Plans Terms”) and are Plans, as defined in the Captions Terms and Conditions (the “Captions Terms”). These Multiple Account Plans Terms form a part of the Captions Terms and together form a legally binding agreement between Mirage (“Mirage,” we,” or “us”) and the entity agreeing to the Multiple Account Plans Terms (“Customer,” “you,” or “your).

These Multiple Account Plans Terms are effective on the earlier of when you click to accept these terms and your first use of the Services. All capitalized terms used herein and not defined have the meaning given such terms in the Captions Terms. By purchasing a Multiple Account Plan, you acknowledge and agree to these Multiple Account Plans Terms, including the Captions Terms and any other applicable Special Terms.

To the extent these Terms conflict with the Captions Terms or Privacy Policy, these Terms shall take precedence to the extent of such conflict.

1. Multiple Account Plans

A Multiple Account Plan entitles the paying account holder of the Multiple Account Plan (the “Multiple Account Plan Purchaser”), together with a specified number of subsidiary account holders (each a “Sub-Account Holder” or sometimes referred to as a “Multiple Account Plan Member”) to access such Multiple Account Plan, for their own and each Sub-Account Holder’s use pursuant to the Captions Terms. We may, at our discretion, provide features to the Multiple Account Plan Purchaser that are not available to Sub-Account Holder(s).

The Multiple Account Plan shall automatically renew and continue indefinitely until cancelled. Unless otherwise indicated herein, Section 5 of the Captions Terms shall apply to your Multiple Account Plan.

If the Multiple Account Plan Purchaser cancels the Multiple Account Plan or the account is otherwise suspended or terminated in accordance with Section 5.3 and 5.4 of the Captions Terms, the Multiple Account Plan Purchaser and Sub-Account Holder(s) will automatically be downgraded to a Free Plan at the end of the then-current billing period.

2. Conditions for a Multiple Account Plan

1. The Multiple Account Plan Purchaser may add or remove any Sub-Account Holder at any time. If a Sub-Account Holder is removed by the Multiple Account Plan Purchaser, the Sub-Account Holder will automatically be downgraded to a Free Plan.
2. Members of a Multiple Account Plan may maintain their existing individual Captions Plan and join a Multiple Account Plan at the invitation of a Multiple Account Plan Purchaser. The provisions set forth under “User Accounts” in the Captions Terms shall continue to apply to your individual User Account.
3. Mirage reserves the right to permanently or temporarily terminate or suspend Multiple Account Plan Purchasers and Sub-Account Holders from access to the Services, including the Multiple Account Plan, without notice and liability for any reason, including if in our sole determination you violate any provision of these Multiple Account Plans Terms, the Captions Term, or any other applicable Special Terms or policies, or for no reason. If we terminate your access to the Services or Multiple Account Plan, all rights and licenses hereunder shall immediately terminate.
4. If you are a holder of a Plan separate from the Multiple Account Plan, by joining a Multiple Account Plan as a Sub-Account Holder, you acknowledge and agree that no refunds are available if you choose to cancel your then-current Plan before the end of your then-current Plan subscription period. Upon joining, you will be added immediately to the selected Multiple Account Plan, and your access to the Services will remain uninterrupted.
5. When the Multiple Account Plan is used with Mirage Studio Services, the Mirage Studio Terms and Mirage Studio User Terms shall apply, as applicable to you. The Multiple Account Plan Purchaser shall be considered the Customer and any Sub-Account Holder shall be considered an Authorized User.
6. When the Multiple Account Plan is used with the Captions Services (and not Mirage Studio Services), the Multiple Account Plan is a billing construct only. The Multiple Account Plan Purchaser does not obtain any rights, title, or interest in, or control over, any Sub-Account Holder’s Input or Output, User Account, or account settings, and Sub-Account Holders remain the sole owners of their Input and Output as set forth in the Captions Terms.

3. Fees.

The Multiple Account Plan Purchaser is responsible for the applicable Multiple Account Plan subscription charge and any and all taxes or possible transaction fees, and any other charges incurred in connection with your Multiple Account Plan subscription.

4. Changes to Multiple Account Plans

The features included in the Multiple Account Plan are set out in the description of such Plan. Mirage may make changes to certain features or functionalities of Multiple Account Plan from time to time, including by limiting the number of Sub-Account Holders that can access your Multiple Account Plan, by adding or removing features, or increasing or decreasing capacity limits. Mirage and its Affiliates assume no liability for any such changes. Mirage does not represent or warrant that particular features and benefits will be offered indefinitely in a Multiple Account Plan and reserves the right to, in its sole discretion, change the fees or alter the features and benefits associated with a Multiple Account Plan. If Mirage changes the monthly or annual fee charged for a Multiple Account Plan, Mirage will notify you and provide you with the opportunity to cancel your subscription before your Multiple Account Plan subscription is renewed for another subscription term. If you do not wish to continue subscribing with the new subscription fees, you may cancel your Multiple Account Plan subscription within the specified notice period. We may make Multiple Account Plan feature changes. Your continued use of the Services after a fee or feature change becomes effective will constitute your acceptance of the change, and any updated terms and conditions will apply for the remaining subscription term and all renewals going forward.
